These Terms of Service govern your use of mizuiro (mizuiro.app), a people management platform operated by neoncrayon, based in Ontario, Canada. By creating an account or using mizuiro, you agree to these terms. We've written them to be clear and straightforward.

Our commitments

  • We will never sell your data. Not to anyone, not for any price.
  • We will never sell or share email addresses with third parties for marketing, advertising, or any other commercial purpose.
  • We will never use your data to train AI models - not our own, and not anyone else's.

1. The service

mizuiro is a software-as-a-service (SaaS) platform for managing workplace teams. Features include employee records, performance reviews, incident tracking, training records, expense reports, attendance, awards, tasks, and related tools.

mizuiro is designed for use by businesses and organizations. It is not a consumer product. The person who registers a company account (the account holder) is responsible for their organization's use of the platform, including how they manage their employees' data.


2. How mizuiro works

mizuiro is a record-keeping tool. It stores, organizes, and displays information that people in your organization enter. That's it.

mizuiro does not use artificial intelligence, machine learning, or automated decision-making of any kind. It does not score, rank, flag, or evaluate employees. It does not generate recommendations, predictions, or risk assessments. There is no algorithm deciding who gets a good review or a performance concern.

Every record in mizuiro - every review, incident report, training entry, note, and task - was written by a person in your organization. Every status change, every assignment, every decision reflected in the platform was made by your manager or supervisor, not by the software. mizuiro shows you what they entered, exactly as they entered it.

If you're an employee with questions or concerns about something recorded in mizuiro, the right person to talk to is your manager or supervisor - they're the ones who created that record. mizuiro is the notebook, not the author.


3. Eligibility

You must be at least 18 years old to create an account or use mizuiro. By registering, you confirm that you meet this requirement and are acting on behalf of a legitimate business or organization. mizuiro is not intended for personal or consumer use, and is not designed for use by minors. If we become aware that an account was created by someone under 18, we will terminate that account.


4. Accounts and access

To use mizuiro you must create an account with a valid email address and a password of at least 12 characters. Two-factor authentication (TOTP) is required for all accounts. We know it's an extra step, but we're committed to keeping your data safe and believe multi-factor authentication is one of the most effective ways to protect your account.

You are responsible for:

  • Keeping your login credentials secure and not sharing them with anyone
  • All activity that occurs under your account
  • Notifying us promptly if you suspect unauthorized access to your account
  • Ensuring that any team members you invite agree to these terms

We reserve the right to suspend or terminate accounts that violate these terms, engage in abusive behaviour, or pose a security risk to the platform or other users.


5. Acceptable use

You agree not to use mizuiro to:

  • Store legal records, health or medical records, health insurance information, social insurance numbers, credit card numbers, banking details, or government-issued ID numbers - mizuiro is not designed or intended for this type of sensitive regulated data
  • Harass, discriminate against, or harm any person
  • Violate any applicable law or regulation, including employment and privacy law
  • Attempt to gain unauthorized access to other accounts, systems, or data
  • Probe, scan, or test the security of the platform without our prior written consent
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Use the platform in a way that could damage, disable, or impair it
  • Resell, sublicense, or otherwise commercially exploit the platform without our written agreement

mizuiro is a tool. How you use it - and in particular, how you treat the employees whose data you manage - is your responsibility. We expect the platform to be used ethically and in compliance with applicable employment laws.


6. Your data

You own the data you enter into mizuiro. We do not claim any rights to it. We process it only to provide the service, as described in our Privacy Policy.

You are responsible for ensuring you have the legal right to collect, store, and process the personal information of the employees and team members you add to the platform, in accordance with applicable privacy and employment law in your jurisdiction.

When you delete your account or request data deletion, your HR data is permanently and immediately removed from our systems. We cannot recover deleted data. If your organization has legal obligations to retain employment records (for example, under the Ontario Employment Standards Act or equivalent legislation in your jurisdiction), those obligations are yours to fulfill - export your data before deleting your account.

Backups are site-wide infrastructure, not a per-customer recovery service. We maintain backups for the purpose of restoring the platform in the event of a catastrophic failure. These backups are not scoped to individual companies or records and cannot be used to selectively restore data you have deleted - whether that is a single record, an employee, or your entire account. When you delete something in mizuiro, it is gone. If data integrity matters to your organization, export regularly.


7. Billing and payment

mizuiro is a paid service. Subscription pricing is listed on the website. Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your chosen plan.

Subscriptions are billed in advance. If you cancel, your access continues until the end of the current billing period. We do not offer refunds for partial periods.

If a payment fails, we will notify you and attempt to collect payment. Accounts with sustained non-payment may be suspended. We will provide reasonable notice before any suspension.

Your subscription price is locked for the lifetime of your subscription. If we introduce new pricing for new subscribers, your rate will not change as long as your subscription remains active. We will never retroactively raise prices on existing subscribers.

What happens if your subscription ends

If your subscription ends - whether you cancel, your trial runs out without subscribing, or a payment can't be collected - here's what happens:

  • 30-day grace period. Your account switches to read-only mode. You can still sign in, view your data, and export anything you need, but you won't be able to make changes. You can resubscribe at any time during this window and pick up right where you left off.
  • After 30 days. Your account is locked. You can no longer sign in, but your data is still there. If you resubscribe within the retention window, everything is restored.
  • After one year. Your data is permanently deleted. This is irreversible. If you'd like to use mizuiro again after that, you're welcome to register with the same email address and start fresh.

We will always give you notice before anything changes. If you need more time or have questions about your account status, just reach out and we'll work with you.


8. Availability and support

We work to keep mizuiro available and running well, but we do not guarantee uninterrupted service. Maintenance, updates, and circumstances outside our control may cause downtime. We will try to provide advance notice for planned maintenance.

Support is provided via email. We aim to respond to all requests within two business days.


9. Feedback, bugs, and security

We genuinely want to hear from you. If you have a feature idea, run into a bug, or notice something that doesn't feel right, you can report it using the bell icon inside the app. Every report is read by a real person.

If something you reported leads to a fix or improvement, we're happy to credit you (with your permission) in our release notes. Good feedback makes the product better for everyone.

Security concerns should be reported directly to security@mizuiro.app so we can address them quickly and responsibly.


10. Intellectual property

mizuiro and its underlying code, design, and content are owned by neoncrayon. Nothing in these terms grants you any rights to the platform itself beyond the right to use it as described here.

The mizuiro name, logo, and branding are property of neoncrayon and may not be used without our written permission.


11. Limitation of liability

To the maximum extent permitted by law, mizuiro and neoncrayon are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of data, loss of business, or employment-related claims.

Our total liability to you for any claim arising from use of the platform will not exceed the amount you paid us in the three months preceding the claim.

Nothing in these terms limits liability for fraud, gross negligence, or matters that cannot be limited by law.


12. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these terms, with or without notice depending on the severity of the violation.

On termination, your data is handled according to the subscription lapse process described in section 7. Provisions that by their nature should survive termination - including data ownership, limitation of liability, and governing law - will continue to apply.


13. Changes to these terms

We may update these terms as the service evolves. We will notify account holders by email at least 14 days before material changes take effect. Continued use of the platform after that date constitutes acceptance of the updated terms.


14. Disputes and governing law

If something isn't working for you, let us know. We'd genuinely rather sort things out over email than through lawyers. Reach out at hello@mizuiro.app and we'll do our best to make it right.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. If a dispute can't be resolved informally, it will be handled in the courts of Ontario, Canada.
